1. Preamble

These General Conditions of Use, hereinafter the “GCU”, govern access to and use of the SparkList application, website, and associated services, hereinafter the “Service”.

The Service is published by:

SparkList is intended for professional users, including short-term rental property managers, conciergeries, hosts, cleaning companies, and service teams.

By creating an account, accessing the Service, or using SparkList, the User confirms that they have read, understood, and accepted these GCU without reservation.

2. Definitions

Application means the SparkList mobile, desktop, and web application.

Service means all features provided by SparkList, including visual checklists, photo proof, task workflows, property management tools, geolocation features, team access, and related services.

Company means the legal entity publishing and operating SparkList.

User means any professional person or legal entity accessing or using the Service.

Manager means a User who creates properties, checklists, tasks, workflows, and manages team access.

Team Member means any cleaner, service provider, employee, contractor, or invited person using SparkList under the authority or invitation of a Manager.

Property means a rental unit, short-term rental property, apartment, house, room, or other location managed through SparkList.

Active Property means a Property that can be used by the User’s team to run checklists, complete tasks, upload photos, and record activity.

Paused Property means a Property kept in the User’s account but temporarily disabled for operational use. Paused Properties are not billed, unless otherwise stated in the applicable pricing terms.

User Data means any data uploaded, entered, generated, or processed through the Service, including photos, checklist content, property information, task activity, timestamps, geolocation data, issue reports, and team information.

AI Features means optional artificial intelligence features that may assist with checklist creation, content suggestions, image analysis, workflow support, or other productivity functions.

3. Purpose of the GCU

These GCU define the conditions under which Users may access and use SparkList.

They apply together with any other applicable documents, including the Privacy Policy, pricing terms, subscription terms, and any specific contractual agreement entered into between the Company and the User.

In the event of conflict between these GCU and a signed agreement between the Company and the User, the signed agreement shall prevail.

4. Access to the Service

4.1 Account creation

Access to certain features of the Service requires the creation of a User account.

The User agrees to provide accurate, complete, and up-to-date information when creating and using their account.

The User confirms that they are acting in a professional capacity or on behalf of a professional organization.

4.2 Login credentials

Login credentials are personal and confidential.

The User is responsible for keeping their credentials secure and for all activity carried out through their account.

The User must inform the Company immediately in case of suspected unauthorized access, loss of credentials, or security breach.

4.3 Team access

Managers may invite Team Members to use SparkList.

The Manager is responsible for:

  • ensuring Team Members are authorized to use the Service;
  • explaining any relevant operational rules to Team Members;
  • ensuring that Team Members use SparkList lawfully;
  • obtaining any necessary consent or authorization for the collection of photos, geolocation data, and work-related activity data.

5. Description of the Service

SparkList is a visual checklist and proof-of-work application for short-term rental property operations.

The Service allows Users to:

  • create property-specific checklists;
  • create rooms, tasks, instructions, and photo requirements;
  • guide cleaners and service providers through step-by-step workflows;
  • collect photo proof of completed tasks;
  • record timestamps and activity logs;
  • use geolocation-based controls when required;
  • report problems or incidents with photos and descriptions;
  • manage multiple properties from one account;
  • pause and reactivate properties;
  • review job completion remotely.

SparkList is an operational support tool. It helps Users organize, document, and verify property-related work, but it does not replace the User’s own professional judgment.

The User remains solely responsible for reviewing completed tasks, validating property readiness, handling guest or owner disputes, and making operational decisions.

6. Geolocation and Photo Proof

SparkList may use geolocation features to confirm whether a Team Member is near a Property when starting or completing a checklist.

The User acknowledges that geolocation data may be affected by:

  • device settings;
  • GPS accuracy;
  • internet connection;
  • operating system restrictions;
  • user permissions;
  • environmental conditions.

SparkList does not guarantee perfect geolocation accuracy.

Photos uploaded through SparkList may include timestamps, property context, and other metadata generated by the Service. Such photos may help support internal quality control, owner communication, or damage claims.

However, SparkList does not guarantee that any third-party platform, insurer, owner, guest, court, or authority will accept SparkList photos, reports, or data as sufficient evidence.

7. AI Features

SparkList may offer optional AI Features, including features that help Users create or improve checklists.

AI Features are provided as assistance tools only.

The User acknowledges that AI-generated suggestions may be incomplete, inaccurate, or unsuitable for a specific property or situation.

The User remains responsible for reviewing, validating, editing, and approving any content generated or suggested by AI Features before using it operationally.

AI credits, if offered, are optional and are not required to use the core SparkList Service unless explicitly stated otherwise.

8. Pricing, Billing, and Subscriptions

SparkList may offer free and paid access depending on the User’s usage.

Unless otherwise stated, SparkList uses pay-as-you-go pricing based on the average number of Active Properties during the billing period.

The first Active Property may be free according to the pricing terms displayed on the website or in the application.

Paused Properties are not billed while paused, unless otherwise stated in the applicable pricing terms.

The User may add, pause, or reactivate Properties according to the rules available in the Service.

Paid subscriptions, usage fees, AI credits, taxes, and billing conditions are described on the pricing page or in the applicable order form.

Payments may be processed by third-party payment providers such as Stripe, Apple, Google, or other authorized providers.

The User is responsible for providing accurate billing information and for paying all applicable fees, taxes, and charges.

9. User Obligations

The User agrees to use SparkList in a lawful, professional, and responsible manner.

The User agrees not to:

  • use the Service for illegal purposes;
  • upload unlawful, offensive, defamatory, or infringing content;
  • violate the privacy or image rights of third parties;
  • misuse geolocation or monitoring features;
  • attempt to access another User’s account or data;
  • interfere with the security or operation of the Service;
  • reverse engineer, copy, scrape, or extract the Service except where legally permitted;
  • use the Service to build a competing product without authorization;
  • upload malware, malicious code, or harmful files.

The User is responsible for ensuring that all User Data uploaded to SparkList is lawful and that they have the necessary rights, permissions, and authorizations to process it through the Service.

10. Intellectual Property

10.1 SparkList intellectual property

The Service, including its software, design, interface, features, trademarks, logos, text, graphics, databases, architecture, and documentation, is owned by the Company or its licensors.

These GCU do not transfer any intellectual property rights to the User.

The User receives only a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these GCU.

Any reproduction, modification, distribution, resale, publication, or unauthorized use of SparkList or its components is prohibited without prior written authorization.

10.2 User Data

The User retains ownership of User Data uploaded or generated through the Service.

The User grants the Company a limited, non-exclusive, worldwide license to host, store, process, display, reproduce, back up, transmit, and use User Data only as necessary to:

  • provide the Service;
  • maintain and secure the Service;
  • provide customer support;
  • troubleshoot technical issues;
  • improve Service performance;
  • comply with legal obligations.

The Company may use anonymized or aggregated data for analytics, product improvement, and business reporting, provided such data does not identify the User, Team Members, guests, owners, or Properties.

The Company will not sell User Data.

11. Personal Data

The Company processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation, where applicable. The European Commission describes the GDPR as setting rules for the lawful processing of personal data, including controller and processor responsibilities.

The processing of personal data is further described in the SparkList Privacy Policy.

Depending on the context:

  • the User may act as data controller for personal data relating to Team Members, property owners, guests, and service providers;
  • the Company may act as data processor when processing such data on behalf of the User;
  • the Company may act as data controller for account management, billing, security, and its own business operations.

The User is responsible for ensuring that they have a valid legal basis for collecting and processing personal data through SparkList, including photos, geolocation data, and work activity data.

Where required, the User must inform Team Members and other relevant persons about the use of SparkList and the processing of their data.

12. Confidentiality and Security

The Company implements reasonable technical and organizational measures to protect the Service and User Data.

However, the User acknowledges that no system is completely secure and that internet-based services may be exposed to risks.

The User must also take reasonable security measures, including:

  • using strong passwords;
  • restricting account access to authorized persons;
  • removing access for former Team Members;
  • keeping devices secure;
  • reporting suspected security incidents promptly.

13. Availability and Maintenance

The Company uses reasonable efforts to keep the Service available and functioning properly.

However, access to the Service may be interrupted or limited due to:

  • maintenance;
  • updates;
  • technical incidents;
  • hosting provider issues;
  • internet network failures;
  • force majeure;
  • security reasons;
  • third-party service interruptions.

The Company does not guarantee uninterrupted or error-free access to the Service.

The Company will make reasonable efforts to respond to support requests within a reasonable timeframe.

Support availability may depend on the User’s plan, subscription, or agreement.

15. Suspension and Termination

The Company may suspend or restrict access to the Service if:

  • the User breaches these GCU;
  • payment is overdue;
  • the User creates security, legal, or operational risk;
  • the User misuses the Service;
  • suspension is required by law or a competent authority.

The User may stop using the Service at any time.

Termination or suspension does not affect amounts already due.

Upon termination, the User may lose access to their account and User Data after a reasonable retention period, subject to legal obligations and the Privacy Policy.

16. Liability

16.1 User liability

The User is solely responsible for:

  • how they configure and use SparkList;
  • the accuracy of checklists and instructions;
  • the validation of completed work;
  • the management of Team Members;
  • the legality of User Data;
  • operational decisions made based on SparkList data;
  • informing and obtaining consent from relevant persons where required.

16.2 Company liability

The Company provides SparkList as a professional operational support tool.

The Company shall not be liable for:

  • misuse of the Service;
  • incorrect User Data;
  • incomplete or inaccurate checklists;
  • decisions made by the User;
  • cleaning quality or property condition;
  • failure by cleaners or service providers to perform work correctly;
  • guest complaints;
  • owner disputes;
  • rejected damage claims;
  • loss of revenue, bookings, profits, or business opportunity;
  • indirect, immaterial, incidental, or consequential damages;
  • third-party service failures;
  • internet, device, GPS, or operating system issues;
  • force majeure events.

To the maximum extent permitted by law, the Company’s liability is limited to the direct and foreseeable damages suffered by the User.

Unless prohibited by applicable law, the Company’s total liability shall not exceed the amount paid by the User to the Company during the twelve months preceding the event giving rise to the claim.

This limitation does not apply in case of fraud, wilful misconduct, or gross negligence where such limitation is prohibited by law.

17. Third-Party Services

SparkList may rely on or integrate with third-party services, including hosting providers, analytics tools, payment processors, app stores, email providers, mapping services, or other technical providers.

The Company is not responsible for the availability, performance, terms, or actions of third-party services.

The User may be required to accept third-party terms when using certain features, payment methods, or app store distribution channels.

18. Amendments to the GCU

The Company may amend these GCU from time to time.

Users will be informed of material changes by appropriate means, such as email, in-app notification, or website notice.

Continued use of the Service after the effective date of the updated GCU constitutes acceptance of the updated terms.

If the User does not accept the updated GCU, they must stop using the Service.

19. Governing Law and Jurisdiction

These GCU are governed by the laws of Estonia.

In the event of a dispute, the parties shall first attempt to resolve the matter amicably.

Failing amicable resolution, the dispute shall be submitted to the competent courts of Estonia, unless mandatory law provides otherwise.
